This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.

6. Miscellaneous.

This Agreement shall all be governed and construed in accordance with the laws of South Africa applicable to agreements made and to be performed in South Africa. You agree that any legal action or proceeding between DS Tech (Pty)Ltd and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in front of a competent jurisdiction located in South Africa . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. DS Tech (Pty) Ltd failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. DS Tech (Pty) Ltd may assign its rights and duties under this Agreement to any party at any time without notice to you. You are responsible for complying with all applicable laws in all of your actions related to your use of DS Tech (Pty) Ltd services, regardless of the purpose of the use. In addition, you must adhere to the terms of this Acceptable Use Policy. Your use of the service is at your sole risk. The service is provided on an “as is” and “as available” basis. DS Tech (Pty) Ltd does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected. You expressly understand and agree that DS Tech (Pty) Ltd shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if DS Tech (Pty) Ltd has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service. The failure of DS Tech (Pty) Ltd to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and DS Tech (Pty) Ltd and govern your use of the Service, superceding any prior agreements between you and DS Tech (Pty) Ltd (including, but not limited to, any prior versions of the Terms of Service).
